Terms & Conditions

These Terms govern your use of AutoClient (the "Service"), operated by Sumaer Gurm, a sole proprietor trading as "AutoClient" ("we", "us"). Sumaer Gurm is the legal entity you are contracting with, and can be reached at support@autoclient.ai. By creating an account or continuing to use the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind it; otherwise you confirm you are of legal age to enter into this agreement.

1. The Service

AutoClient is a subscription software platform for agencies and consultants that provides prospect discovery, outreach drafting, AI assistant configuration and deployment, client management, and reporting. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you select.

2. Your account

• You must provide accurate information and keep it up to date.
• You are responsible for keeping your credentials confidential and for all activity under your account.

3. Acceptable use

You must not:

• use the Service unlawfully, or for fraud, spam, or deceptive outreach;
• infringe the intellectual property or privacy rights of others;
• interfere with the security of the Service, including malware, probing, scraping, or circumventing technical limits;
• reverse engineer, resell, or redistribute the Service;
• contact individuals in breach of applicable marketing, telemarketing, or data protection laws. You are solely responsible for the messages you send and the consent you rely on.

4. AI features

Parts of the Service generate text using AI models, including lead scoring, outreach copy, and assistant replies. You are responsible for your prompts, for reviewing outputs before use, for having the rights to any content you upload, and for how you use the results. Outputs may be inaccurate or incomplete and must not be relied upon as legal, financial, medical, or other regulated professional advice without human oversight. You must not use AI features to produce illegal content, impersonation or deepfakes, harassment, hate speech, or malware, and must not attempt to bypass model safeguards. We may filter, restrict, or remove content and suspend accounts for misuse. If a rights-holder believes content generated or hosted through your account infringes their rights, they may contact us and we will review and, where appropriate, remove it; repeat infringement leads to termination.

5. Intellectual property

We retain all rights in the Service, including its software, documentation, and branding. You retain ownership of the content you upload, and grant us a limited licence to host and process it solely to provide the Service.

6. Payment and subscriptions

Subscriptions are billed monthly in advance and renew automatically until cancelled. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by the Paddle Buyer Terms, together with our refund policy.

7. Service level and warranties

We work to keep the Service available but do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Liability

To the fullest extent permitted by law, our aggregate liability is limited to the fees you paid in the twelve months before the claim. We exclude liability for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing excludes liability for fraud, death, or personal injury caused by negligence.

9. Indemnity

You will indemnify us against claims arising from your content, your unlawful or non-compliant use of the Service, or your breach of these Terms.

10. Suspension and termination

We may suspend or terminate access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel at any time from Billing. On termination, you may export your data for 30 days, after which it may be deleted.

11. General

You may not assign these Terms without our consent; we may assign them in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. These Terms are governed by the laws of the jurisdiction in which we are established, and the courts there have exclusive jurisdiction.
